1) wipe down the paneling with a combination of vinegar and water, this will cut any grease and grime.

2) do any caulking or spackling to fill in holes.

3) apply several coats of a good primer, preferably Zinser Primers.

4) Now apply two coats of your finish paint.

This should do it. The primer is to make the color transation and application stick and adhere to the shiny surfaces.
