how do I prepare paneling for painting

I am creating a small whimsical office in a dreary,unused basement room.(with potential!) It's small and has wood paneling 3/4 up the wall. It is if course dark,1970's type paneling. I hate paneling and may be able to rip it out but I think the easiest is to paint and move on. I want this to be a rather bright office for a creative type start up business. It will be just for me but I need it to inspire me. I also have a cement floor that is a mess. I was going to scrape it and "shaby chic" paint (faux brick or a repeated logo design?

Anyway you get the drift that this is TEMPORARY! so it doesn't have to be perfect but I love to paint so how to:

Wood panel a-z
Cement floor a-z

Many steps can sort of be skipped - I'm not looking to be in House Beautiful.
