Drywall Installation

Hello, Our basement is finished in knotty pine which is in terrible condition. My intentions are to redo the basement in drywall instead of all of the painsakeing sanding and staining to restore the existing wood. Is it advisable to just apply the drywall over the knotty pine or strip all panels and start from scratch. Secondally, is it advisable to use drywall on the basement ceiling or use ceiling tiles. The house is going up for sale when project is completed and we don't want to spend a lot of money
